Definitions
For the purposes of these Terms of Service:
"Affiliate" means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
"Account" means a unique account created for You to access our Service or parts of our Service.
"Company" (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Slab Dynasty 2, LLC.
"Country" refers to the United States of America.
"Content" refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
"Device" means any device that can access the Platform including, but without limitation, a computer, cell phone or digital tablet.
"FMV" means Fair Market Value.
"KYC" means Know Your Client.
"Marketplace" refers to the Peer-to-Peer marketplace operated and administered by the Platform, for the purchase and sale of Trading Cards.
"NFT" refers to Non-Fungible Token, a unique and non-interchangeable unit of data stored on the blockchain, which is assigned to each Trading Card.
"Platform" refers to the Website.
"Terms of Service" (also referred to herein as the "Terms") mean these Terms of Service that form the entire agreement between You and the Company regarding the use of the Platform.
"Third-party Social Media Service" means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Platform.
"Trading Cards" refers to graded physical trading cards, including, for example, baseball, football, basketball and other sports cards, tabletop game cards and other collectible cards.
"Website" refers to the Slab Dynasty website, accessible from http://www.slabdynasty.com.
"You" (also referred to as the "User") means the individual accessing or using the Platform, or the company, or other legal entity on behalf of which such individual is accessing or using the Platform, as applicable.
"Vaulting" refers to the Company's holding of, and having physical custody of, Trading Cards at its business location(s).
Acknowledgement and Acceptance of these Terms
By accessing or using the Platform, including but without limitation, all websites, services and features which are offered by the Company, You agree to be bound by these Terms. If you disagree with any part of these Terms, then You may not access the Platform. These Terms apply to all visitors, users and others who access or use the Service. Furthermore, by accessing the Platform, You represent that you are over the age of 18. If You are under the age of 18, please do not access the Platform.
Your access to and use of the Platform is also conditioned on Your acceptance and compliance with the Slab Dynasty Privacy Policy, which may be accessed at http://www.slabdynasty.com/privacypolicy (the "Privacy Policy"). Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Platform, and provides information on Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using the Platform.
User Accounts
Mandatory KYC Verification
To access the Platform, including but not limited to trading, purchasing, or redeeming Trading Cards, you are required to complete our KYC verification process. This process may include submitting valid government-issued identification, proof of address, and any other documentation or information we deem necessary to comply with applicable laws, regulations, or our internal policies.
Accuracy of Information
You represent and warrant that all information provided during the KYC process is accurate, complete, and current. You are responsible for promptly updating us with any changes to your KYC information by contacting us at support@slabdynasty.com.
Failure to Comply with KYC Verification
Failure to complete the KYC verification process or provide accurate information may result in restrictions on your account, including but not limited to suspension of Your ability to trade or purchase Trading Cards, inability to access certain Platform features, or termination of your account, at our sole discretion.
Data Handling
All personal information collected during the KYC process will be handled in accordance with our Privacy Policy and applicable data protection laws. We may share your KYC information with third-party service providers or regulatory authorities as required to comply with legal obligations.
Your Responsibility to Safeguard Account Credentials
You are responsible for safeguarding and maintaining the confidentiality of Your account credentials and wallet access. You agree to not disclose Your account credentials to any third party. You must notify the Company immediately, upon becoming aware of any breach of security or unauthorized use of Your Account, account credentials or wallet.
Children
The Slab Dynasty platform is not intended for use by individuals under the age of 18. We do not knowingly collect, use, or disclose personal information from anyone under 18 years of age.
If you are a parent or legal guardian and believe that a minor has provided personal information to Slab Dynasty in violation of applicable law, please contact us promptly. Upon verification, we will take appropriate steps to comply with legal requirements, including deleting such information from our systems.
Slab Dynasty's services involve digital collectibles, marketplace transactions, and related features that are designed for adult users only.
Permitted Use and Restrictions
You may use the Platform solely for lawful purposes, and in accordance with these Terms. You agree to use the website only for personal, non-commercial use, unless otherwise expressly permitted by us in writing. You are expressly prohibited from:
- • Using the website in any manner that violates any applicable local, state, national, or international law or regulation
- • Engaging in any activity that interferes with or disrupts the Platform, its servers, or networks connected to the Platform
- • Attempting to gain unauthorized access to any portion of the Platform, other accounts, or systems connected to the website through hacking, password mining, or any other means
- • Using the Platform to transmit or upload any viruses, malware, or other harmful code
- • Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Platform or its content for commercial purposes without our prior written consent
- • Engaging in any activity that could harm, disable, overburden, or impair the Platform's functionality or appearance
- • Collecting or storing personal data about other users without their express consent or in violation of applicable data protection laws
- • Using automated systems, such as bots or scrapers, to access or collect information from the website without our prior written approval
We reserve the right to terminate or restrict your access to the Platform, without notice, for any conduct that we believe violates these Terms, or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
What You Can Expect From the Platform
The Platform provides Users a variety of functions and services, all of which are subject to, and conditioned upon Your compliance with the Terms.
Randomized Trading Card Purchase
The User may purchase a mystery digital pack containing one (1) Trading Card. The Trading Card is determined, at random, at the time of purchase. Prior to agreeing to purchase the mystery Trading Card, the User is presented with various odds indicating the likelihood of selecting a particular Trading Card within one of eight value "tiers." Before making any Purchase, the User confirms that he or she has reviewed the odds, and understands them.
Mini-Game Layer
After the purchase is made, the User will proceed to play one of a variety of mini-games. All mini-games are purely cosmetic in nature, and will have no effect upon the initial selection of the Trading Card. By playing a mini-game, the User will have the opportunity to earn from 0 to 4 credits, each of which represents one "Re-Roll" Swap (see below).
Re-Roll Swap
After the conclusion of the mini-game, Users will have the option to use his or her credits to swap an owned Trading Card for another card of equal FMV. As referenced above, each credit represents one Re-Roll Swap. Each Re-Roll Swap is non-random, and the cards available via Re-Roll are pre-determined based upon them having the same FMV as the Trading Card which was initially pulled during the purchase. For example, if the User initially purchases a baseball card with a FMV of $50, then all cards made available via the Re-Roll Swap will also have a FMV of $50. The Company may limit the availability of Re-Roll Swaps to ensure Platform integrity and that sufficient inventory is available. The specific Trading Cards available as potential Swaps will be determined in the sole discretion of the Company.
Vaulting / Redemption of Trading Cards
All purchasable / Swappable Trading Cards are in the physical custody of the Company (or its affiliate(s), as the case may be). Each Trading Card is assigned a unique NFT. The User will have an opportunity to "redeem" Trading Cards, or maintain a digital inventory, by retaining the Trading Card through digital ownership represented by the NFT. If a Trading Card is redeemed, then the User will be responsible for paying shipping and handling to the Company in order to process the redemption.
Slab Dynasty Peer-to-Peer Marketplace
Trading Cards which are vaulted may be sold or purchased by Users on the Platform's Marketplace. If a transaction is entered into between two (2) users, then the Seller will pay the Platform a transaction fee, which is currently 5% of the Trading Card sale price, but is subject to change in the Platform's discretion.
Platform Buy-Back Offers
Buyback Offers are available for eligible Trading Cards, initially, at 95% of the Trading Card's FMV, with the Buy Back Offer decreasing by 5% every 24 hours until claimed or sold. FMV is determined by the Platform using third-party data (e.g., Card Ladder). By accepting a trade or Buy-Back via the Platform, both parties enter into a legally binding agreement to fulfill the transaction under the agreed terms. Failure to deliver the item or payment constitutes a breach of this agreement. Buyback Offers are optional.
Seller Responsibilities and Penalties
Approved Sellers on the Platform are subject to the following responsibilities and penalties to ensure a fair and reliable marketplace experience for all Users.
Shipping Requirements
When a Seller's Trading Card is sold on the Marketplace, the Seller must ship the Trading Card to the Company's designated facility within ninety-six (96) hours of the sale completion. The Seller must provide a valid tracking number that shows the package was accepted by the shipping carrier.
Late Shipping Penalties
- 72-Hour Warning: If a Seller has not shipped a Trading Card within seventy-two (72) hours of the sale, the Seller will receive a warning email notification.
- 96-Hour Late Fee: If a Seller has not shipped a Trading Card within ninety-six (96) hours of the sale, the Seller will be charged a late shipping fee of one dollar ($1.00). This fee must be paid before the Seller can create any new listings on the Platform.
Card Authentication Requirements
All Trading Cards submitted by Sellers must pass the Company's authentication process. Cards may fail authentication for reasons including, but not limited to: counterfeiting, tampering with grading labels, misrepresentation of card details, or damage beyond acceptable condition.
Failed Authentication Penalties
- First and Second Failure: The Seller will receive a warning notification. The failed card will be returned to the Seller at the Seller's expense.
- Third Failure: Upon a third failed authentication, the Seller's account will be frozen from creating new listings. The Seller must submit an appeal form explaining the circumstances of the failures. The Company will review all appeals and, in its sole discretion, determine whether to restore the Seller's listing privileges.
Appeal Process
Sellers whose accounts have been frozen may submit an appeal through their account profile. Appeals will be reviewed by the Company within a reasonable timeframe. The Company reserves the right to approve or deny any appeal at its sole discretion. Approved appeals will result in the restoration of listing privileges; denied appeals will maintain the account freeze. Sellers may submit additional appeals after twenty-four (24) hours if new information becomes available.
Fees and Payment Terms
Users are responsible for paying all applicable fees, including:
- • Trading Card Purchase Prices
- • Vaulting, shipping, and handling fees
- • Marketplace transaction fees
- • Blockchain network ("gas") fees
Currently accepted payment methods include major credit cards, USDC (cryptocurrency stablecoin), and other supported tokens. The Company reserves the right, in its sole discretion, to update payment options at any time. By utilizing a third-party payment processing service (the "Payment Processor") on the Platform, the User agrees to strictly abide by the Payment Processor's applicable terms and conditions of use.
Stripe Payment Processing Services
Payment processing services for sellers on Slab Dynasty are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these terms or continuing to operate as a seller on Slab Dynasty, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Slab Dynasty enabling payment processing services through Stripe, you agree to provide Slab Dynasty accurate and complete information about you and your business, and you authorize Slab Dynasty to share it and transaction information related to your use of the payment processing services provided by Stripe.
Refunds; All Transactions Are Final
All sales on the Platform are final, and the Platform generally does not provide for refunds, except under limited circumstances:
- • The NFT associated with a Trading Card has not yet been revealed; and
- • The associated physical card remains Vaulted and unmodified.
Buyback offers are optional, and constitute separate resale transactions, not refunds. Once an NFT is revealed, redeemed, or shipped, it is ineligible for return or refund. Once a physical card is signed for upon delivery, Slab Dynasty is not responsible for damage, disputes, or condition-related claims. Users must inspect packages upon arrival and retain proof of delivery.
Disputes and Issue Resolution
Transaction Finality
Once a card passes authentication at our facility and is delivered to the buyer, the transaction is considered final. However, we understand that issues may occasionally arise, and we provide mechanisms for resolution.
Reporting Issues
If you receive an item that is damaged, never arrived, or different from what you expected, you may file a dispute through your order details. Our team will review all disputes within 24-48 hours. Eligible dispute reasons include:
- • Item arrived damaged
- • Item never arrived
- • Item was different than what was supposed to be received
- • Other (with explanation)
Pre-Shipment Cancellation
Buyers may request order cancellation before the seller has shipped the item. The seller has the right to approve or deny this request at their discretion. If approved, the buyer receives a full refund. Once an item has shipped, cancellation requests are no longer available.
Abuse Policy
Repeated frivolous disputes or cancellation requests may result in account restrictions or suspension. We reserve the right to deny dispute resolution services to users who abuse these mechanisms.
Your Assumption of the Risk
By using the Platform, you acknowledge and assume certain risks, including without limitation:
- • The FMV of trading cards, NFTs, and other digital assets may fluctuate due to market dynamics and conditions beyond our control.
- • NFTs and digital assets are speculative and may be illiquid, carrying inherent financial risks.
- • The Company does not provide investment, financial, or legal advice, and any information provided on the Platform should not be construed as such.
If You are uncomfortable with the various risks inherent in using the Platform, including those stated above, You should refrain from using the Platform.
Intellectual Property
All content on the Platform, including text, graphics, logos, and software, is the property of Slab Dynasty 2, LLC, Slab Dynasty IP Holdings, LLC or their respective affiliates, designees or licensors, and is protected by intellectual property laws. By agreeing to these Terms, You are granted a revocable, limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes.
You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent. If you upload or submit content to the Platform, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, distribute, and display such content in connection with the Platform. You represent and warrant that you have the necessary rights to grant this license for any content you submit.
Warranty Disclaimer
TO THE EXTENT ALLOWED BY APPLICABLE LAW, THE PLATFORM, AND ANY SERVICES OR FEATURES CONTAINED THEREIN ARE PROVIDED TO YOU "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT MAKE ANY WARRANTIES ABOUT THE SERVICES OR FEATURES OF THE PLATFORM, INCLUDING WITHOUT LIMITATION, THEIR ACCURACY, RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS.
We do not independently verify the authenticity, condition, or grading of any Trading Card or memorabilia item. Authentication and grading are based solely on certifications provided by third-party grading companies. We do not warrant or guarantee the accuracy of grade labels, patch designations, or game-worn status, and we are not liable for any discrepancies or errors in such certifications.
Dispute Resolution and Governing Law
The Parties should agree that if any dispute arises between them, (with exception to the seeking of temporary or permanent injunctive relief) before beginning any legal action, they will first attempt to resolve the dispute by negotiation. If the dispute has not been resolved by negotiation, then the Parties shall engage in non-binding mediation.
The Mediation will be conducted by and under rules of the American Arbitration Association ("AAA") and shall last no longer than two (2) days, unless otherwise agreed upon by written agreement of the Parties. Any controversies, disputes or claims between the Parties under, or arising out of, or in connection with this Agreement, if not resolved by the negotiation and mediation procedures above, shall be settled by arbitration administered by the AAA under its Commercial Arbitration Rules.
All proceedings shall take place in Orange County, California, or if requested by a Party, by video conference. The Federal Arbitration Act shall govern, excluding all state arbitration laws. California law will govern all other issues, without giving effect to its conflict of laws principles.
